1. Agreement to these terms
These Terms of Service ("Terms") govern your use of the Watermouse website and any services provided by Rodrigo Kato Marketing Digital, trading as Watermouse ("Watermouse", "we", "us"). By using this website, booking a call, or engaging our services, you agree to these Terms.
These are general terms. When you become a client, a separate written service agreement governs the specifics of your engagement (scope, fees, term). Where that agreement conflicts with these Terms, the signed agreement prevails.
2. Who we are
Watermouse is the trading name of Rodrigo Kato Marketing Digital, an independent performance-marketing practice providing Google Ads management to European eCommerce brands. Watermouse is operated by a senior operator directly — not a multi-layer agency.
3. Our services
We provide Google Ads strategy, account structuring, campaign management, ongoing optimisation, and reporting, as described on this website and detailed in your service agreement. The free audit, quiz, and assessment tools on this site are provided for information only and do not create a client relationship or any obligation on either side.
Advertising spend (the budget paid to Google) is separate from our management fees and is paid by you directly to Google. We manage that spend; we do not fund it.
4. Engagements & payment
- Management fees, plan inclusions, and spend ceilings are as set out on our pricing page and confirmed in your service agreement.
- Engagements have a minimum initial term of 3 months. After that, either party may end the engagement with 30 days' written notice.
- Fees are invoiced in advance and are due per the terms stated on the invoice. Fees exclude any applicable taxes.
- Late or missed payment may result in services being paused until the account is brought current.
5. Client responsibilities
To deliver our services, we rely on you to provide timely access to the relevant accounts (Google Ads, Google Analytics, Google Merchant Center, and your store or feed where needed), accurate business and margin information, and reasonably prompt approvals. Delays in providing these may affect timelines and results.
6. Ownership & intellectual property
Your ad accounts, campaigns, data, and creative assets remain your property. We work within accounts you own and claim no ownership over them. On the end of an engagement, we hand over access and any Watermouse-created assets held within your accounts.
The content, design, and code of this website remain the property of Watermouse. You may not copy, reproduce, or reuse them without permission.
7. Confidentiality
Each party will keep the other's non-public information confidential during and after the engagement. We will reference an engagement, or publish specific or anonymised results as a case study, only with the client's permission.
8. No guarantee of results & limitation of liability
We apply professional skill and care, but we do not guarantee specific results. Paid-media performance depends on factors outside our control — auction dynamics, market conditions, your website, products, pricing, and budget.
To the fullest extent permitted by law, our total liability arising from the services is limited to the fees paid in the three months preceding the claim. Neither party is liable for indirect or consequential loss. Nothing in these Terms limits liability that cannot be limited by law.
9. Use of this website
You may use this website for lawful purposes only. You agree not to misuse it, attempt to disrupt it, or use its tools to submit false information or the data of others without their consent. The information on this site is provided in good faith for general information and may be updated at any time.
10. Changes to these terms
We may update these Terms from time to time. The "last updated" date at the top reflects the current version. Continued use of the website or services after a change means you accept the updated Terms.
11. Governing law
These Terms are governed by the laws applicable to Rodrigo Kato Marketing Digital's place of establishment, without regard to conflict-of-law principles. The specific governing law and jurisdiction for a client engagement are set out in the service agreement.
